STATUTES

Article 1 Name, headquarters and duration

1. The non-profit association adopts the name MEMOSHOÁ - MEMORY ASSOCIATION AND TEACHING OF THE HOLOCAUST, (...) and is constituted indefinitely. 2. The association has the legal person number 509027628 and the social security identification number 25090276280.

Article 2 End

The association aims to promote the memory and teaching of the Holocaust.

Article 3 Revenue

The association's revenues are constituted, namely: a) the initial fee paid by the members; b) the product of the contributions set by the general meeting; c) income from the association's own assets and income from social activities; d) the liberalities accepted by the association; e) the subsidies attributed to it.

Article 4 Organs

1. The association's bodies are the general assembly, the management and the fiscal council.

2. The mandate of the members of the governing bodies is 3 years.

Article 5 General meeting

1. The general assembly is made up of all members in full enjoyment of their rights.

2. The competence of the general meeting and the form of its functioning are those established in the Civil Code, namely in article 170, and in articles 172 to 179.

3. The board of the general assembly is composed of three associates, a president and two secretaries, who are responsible for directing the meetings of the assembly and drawing up the respective minutes.

Article 6 Direction

1. The board, elected at the general meeting, is composed of 5 members.

2. The management is responsible for the social, administrative and financial management of the association, and to represent the association in and out of court.

3. The form of its operation is that established in article 171 of the Civil Code.

4. The association is obliged with the intervention of two members of the board.

Article 7 Supervisory Board

1. The fiscal council, elected at the general meeting, is composed of 3 members. 2. The supervisory board is responsible for supervising the administrative and financial acts of the management, supervising its accounts and reports, and giving its opinion on acts that imply an increase in expenses or a decrease in revenues.

3. The form of its operation is that established in article 171 of the Civil Code.

Article 8 Admission and exclusion

The conditions for admission and exclusion of members, their categories, rights and obligations, will be set out in regulations to be approved by the general meeting.

Article 9 Extinction. Destination of goods.

When the association is extinguished, the destination of the assets that integrate the social patrimony, that are not affected for a determined purpose and that have not been donated or left with some charge, will be the object of deliberation of the associates.
